Terms of Service
These Terms of Service (“Terms”) govern your access to and use of NeuroPace, including our website at momentum.ditwebsite.dk, optional desktop application, and related services (the “Service”), operated by Jonas Brodde (“we”, “us”, “our”).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials.
2. Subscriptions & billing
- Paid plans are billed monthly through Stripe. Prices are shown in USD at checkout.
- Base Rhythm may include a free trial period as stated at checkout. After the trial, your payment method is charged unless you cancel before the trial ends.
- You can manage, upgrade, downgrade, or cancel your subscription via the Stripe Customer Portal from Account settings in the app.
- Fees are non-refundable except where required by applicable law. Downgrades take effect at the next billing cycle unless otherwise stated by Stripe.
3. Acceptable use
You agree not to:
- Use the Service for unlawful, harmful, or abusive purposes
- Attempt to bypass access controls, tier limits, or security measures
- Reverse engineer, scrape, or overload the Service
- Share account access with others or resell the Service without permission
- Use AI features to generate spam, malware, or content that violates third-party rights
4. AI features
NeuroPace includes AI-assisted planning, analysis, and automation features. AI output may be inaccurate or incomplete. You remain responsible for reviewing suggestions before acting on them, especially for health, financial, or legal decisions.
5. Integrations
If you connect third-party services (e.g. Google Gmail, HubSpot), you authorize us to access data from those services solely to provide features you request. Your use of third-party services is also subject to their terms.
6. Your content
You retain ownership of planner data and content you create. You grant us a limited license to host, process, and display that content solely to operate and improve the Service.
7. Intellectual property
NeuroPace, its branding, software, and design are owned by us or our licensors. These Terms do not grant you any rights to our trademarks or source code.
8. Availability & changes
We may modify, suspend, or discontinue features with reasonable notice where practicable. We strive for high availability but do not guarantee uninterrupted access.
9. Disclaimer
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR EUR 100 IF YOU HAVE NOT PAID US.
11. Termination
You may stop using the Service at any time and cancel your subscription via the billing portal. We may suspend or terminate access if you violate these Terms or if required for security or legal reasons.
12. Privacy
Our collection and use of personal data is described in our Privacy Policy.
13. Governing law
These Terms are governed by the laws of Denmark, without regard to conflict-of-law principles. Consumers in the EU retain mandatory rights under local consumer protection law.
